Unless otherwise stated on the Invoice and signed by an authorized representative of PinAir Tech Corp., payment terms are pre-pay or net thirty (30) days from the date of the Invoice (not receipt date) contingent on credit approval. The Customer shall submit any Invoice dispute to PinAir Tech within thirty (30) days of the Invoice date or the Invoice will be deemed correct.
All payments shall be made in USD currency via wire, ACH, check, or credit card to the bank account designated on the invoice — in full, without deductions for wire fees or other offsets. Past due balances are subject to finance charges, interest, and collection fees at PinAir Tech's discretion.
Title is reserved. Ownership of goods does not pass to the buyer until the Customer has made payment in full.
All orders must be made or confirmed in writing or by electronic data interface and are subject to approval and confirmation upon receipt. Cancellation may not be made without written consent of PinAir Tech, and may result in a restocking fee if cancelled after 24 hours. Minimum order: $100 domestic / $500 international.
Goods supplied incorrectly may be returned within 30 days for exchange or refund. Goods supplied correctly may be returned within 30 days for exchange or refund, subject to a 30% restocking fee. All returns require prior authorization (RMA). Goods must be returned in resalable condition with original packaging, labels, and documentation.
All prices are in United States Dollars and Ex-Works origin. Import duties and freight charges are the Customer's responsibility.
All products are shipped Ex-Works origin. PinAir Tech does not insure shipments. The Customer assumes all risk of loss and/or damage upon shipment.
Terms of delivery are Ex-Works origin. PinAir Tech is not responsible for delays resulting from Events of Force Majeure, including government actions, natural disasters, armed conflict, labor disputes, carrier failures, or any other cause beyond PinAir Tech's control. IN NO EVENT SHALL PINAIR TECH BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING FROM A DELAY OR FAILURE TO DELIVER.
The Customer pays all shipping, insurance, and customs fees and assumes responsibility for lost shipments. PinAir Tech is not responsible for undelivered mail, customs duties, or taxes. Orders will not be refunded if the Customer fails to pay all fees associated with the shipment.
PinAir Tech does not warrant parts but will assign any warranty given by the part manufacturer or supplier.
Parts classified as hazardous material by freight carriers will be identified on documentation with the statement: "The above part number is classified as hazardous material."
All customers must confirm the following:
A. Products will not be exported to Cuba, Iran, North Korea, Russia, Belarus, Syria, Sudan, or any restricted country without U.S. Government authorization.
B. Products will not be used in development or production of nuclear, chemical, or biological weapons.
C. Transactions involving entities on U.S. denial/debarment lists are prohibited.
D. All applicable U.S. export control laws and required licenses will be obtained prior to export.
E. Export control requirements survive completion or termination of any order or agreement.
F. The customer's authorized freight forwarder will file all required export documents, or PinAir Tech Corp. is authorized to act as export agent for domestic shipments leaving the country.
This Agreement is governed by the commercial laws of the State of New York, USA. The United Nations Convention on Contracts for the International Sale of Goods (1980) is expressly excluded.
IN NO EVENT SHALL PINAIR TECH BE LIABLE FOR ANY LOSS OF USE, REVENUE OR PROFIT, OR FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE.
PinAir Tech's aggregate liability shall not exceed the total amounts paid by the Customer for the goods in question. This limitation does not apply to liability resulting from gross negligence, willful misconduct, or death or bodily injury.
